1.1 Buyer shall comply with all applicable export control laws and regulations of all relevant jurisdictions (“Export Control Laws”) in relation to the products, technology, and services provided hereunder (“Products”), including, but not limited to, obtaining all necessary licenses and permits for any import, export, re-export, transfer, or resale of the Products.

1.2 Buyer warrants and represents that:

(a) Products shall be used solely for civil and lawful purposes, and not for any military, defense, intelligence, or surveillance-related, nuclear, chemical/biological weapons, rocket systems, or maritime nuclear propulsion-related activities or purposes whatsoever.

(b) Buyer shall not, directly or indirectly transfer, resell, export, re-export, or otherwise make available the Products to: (i) any military or quasi-military organizations, entities, or personnel, or to any person or entity acting on behalf of such organizations, entities, or personnel; or (ii) any sanctioned country, or region, as determined by United States, United Nations, European Union, or other relevant jurisdiction, including, but not limited to, the Russia, Cuba, Iran, Syria, North Korea, and the Crimea region.

(c) Buyer is not currently listed on any applicable government sanctions lists, including, but not limited to, the U.S. Denied Persons List, Entity List, or Specially Designated Nationals List, or any similar list maintained by the United Nations or European Union and shall use its best efforts to remain in compliance with all applicable sanctions regulations and promptly notify Seller of any change in its sanctions status.

1.3 Upon Seller’s request, Buyer shall promptly furnish all documentation reasonably required by Seller to evidence compliance with Export Control Laws, including, but not limited to, end-user and end-use certificates.

1.4 In the event of any breach of this Section 7, Seller shall have the right to immediately terminate all transactions without liability. Buyer shall indemnify, defend, and hold harmless Seller, its affiliates, officers, directors, and employees from and against all claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees and costs), fines, and penalties arising from or relating to any such breach.
